NDA Support for Custom Hardware Projects

JKTE offers non-disclosure agreements for customers who need to share confidential information during product development or commercial discussions. An NDA helps define how the parties may use and disclose the information covered by the agreement.

Information to cover

  • Custom product drawings, CAD files and prototype details.
  • Tooling concepts and development specifications.
  • Confidential pricing, purchasing plans and project documents.
  • Customer or market information identified as confidential.

Agree confidentiality before disclosure

If a project contains restricted information, discuss the NDA before sending detailed files. Identify the parties, the purpose of the discussion and the information requiring protection so the agreement can be reviewed for that project.

Keep project information identifiable

Use clear file names and revision references when exchanging drawings. Identify confidential documents and the people authorized to receive them. If additional parties need access, review that access under the agreed confidentiality arrangements.

Confidentiality and commercial rights

Confidentiality, tooling ownership, design ownership and exclusive supply are different topics. Where relevant, document each arrangement explicitly in the applicable project agreements. An NDA should not be treated as automatic confirmation of regional distribution or product exclusivity.
